Terms of Service
The agreement between you and HarborDesk.
Effective date: February 1, 2026
1. Accounts
You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account credentials. One account corresponds to one marina operation. Each marina is a separate tenant with isolated data.
You must be at least 18 years old and have the legal authority to bind your organization to these terms.
2. Subscription and Billing
HarborDesk is offered as a monthly subscription. Pricing is published on our website and may change with 30 days' written notice. Your subscription renews automatically each billing cycle unless cancelled.
- A 14-day free trial is available for new accounts.
- Payments are processed through our third-party payment provider.
- Refunds are issued on a case-by-case basis. Contact support within 14 days of a charge for consideration.
- We reserve the right to suspend accounts with past-due balances after 15 days.
3. Acceptable Use
You agree not to:
- Use HarborDesk for any unlawful purpose or in violation of any regulations.
- Attempt to access data belonging to other tenants or circumvent tenant isolation.
- Upload malicious files, code, or content.
- Reverse engineer, decompile, or attempt to extract the source code of the platform.
- Use automated scripts or bots to access the service without prior written approval.
- Resell, sublicense, or redistribute access to the platform.
4. Your Data
You retain ownership of all data you enter into HarborDesk. We do not claim any intellectual property rights over your marina data, customer records, or financial information.
You grant us a limited license to process, store, and display your data solely to provide the service. You can export your data at any time using our built-in export tools.
5. Intellectual Property
HarborDesk, its logo, design, and underlying technology are the intellectual property of HarborDesk and are protected by applicable copyright and trademark laws. Your subscription grants you a non-exclusive, non-transferable license to use the platform for its intended purpose.
6. Limitation of Liability
To the maximum extent permitted by law, HarborDesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, or data loss arising from your use of the service.
Our total aggregate liability for any claims arising from these terms or the service shall not exceed the amount you paid to HarborDesk in the 12 months preceding the claim.
7. Service Availability
We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance windows will be communicated at least 48 hours in advance. We are not liable for outages caused by third-party providers, force majeure, or circumstances beyond our reasonable control.
8. Termination
You may cancel your subscription at any time from your account settings. Upon cancellation, your access continues until the end of the current billing period. Your data is retained for 90 days after cancellation, then permanently deleted.
We may terminate or suspend your account immediately if you violate these terms or engage in activity that harms the platform or other users.
9. Governing Law
These terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Delaware.
10. Changes to These Terms
We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the service after changes take effect constitutes acceptance of the updated terms.
